Minutes of constituent board meeting in
Columbus IT Partner held on 28 April 2004

After the board meeting, the board constituted itself with Niels Heering as
chairman of the board and Michael Gaardboe as vice-chairman. Further, the board
of directors consists of Birgitte Nielsen and Kim Graven-Nielsen, both elected
as new members of the board. 

Birgitte Nielsen (1963) is former CFO of FLS Industries A/S (1999-2002) and is
member of the board of directors of Royal Greenland A/S, Gastra A/S and Det
Finansielle Virksomhedsråd. Birgitte Nielsen has a Bachelor of Commerce degree
(International Trade, Accounting & Finance). 

Kim Graven-Nielsen (1958) is CEO of Esko Graphics A/S (2002- ) and was
previously CEO of The Thomson Coorporation (1989-2002). Kim Graven-Nielsen has
an MA in political science.
